Procurement Legal Expert (JN -092019-4031)
Our client is a leading telecommunication and digital services provider which serves 50 million customers and employees over 12,000 people around the world. They are currently looking for a Procurement Legal Expert, to provide legal expertise to Procurement to facilitate all contract development activities:
- Develop individual procurement contracts and contract templates, in support of the Group category teams
- Negotiate contract terms with vendors, supported by the Sourcing Managers
- Provide first-hand legal advice to the sourcing and supply relationship teams in case of claims, contract change request and contract disputes
- For supply contracts, be the interface with the Group & Local legal teams, and with the vendor legal teams. Ensure ultimate contract approval from the Group & Local Legal teams
- Pursue continuous improvement: Improve contract structures and clauses, roll out bestcontracting practices, improve the contracting process

Responsibilities
Develop individual procurement contracts and contract templates
- Understand the category purchasing requirements and company objectives to minimize (legal) risk and maximize value
- Develop contract templates that best reflect our objectives, depending on the category needs, deal complexity, value, or risk
- Develop specific contracts during sourcing initiatives, reflecting the specific scope and negotiation dynamic
Negotiate contract terms
- Identify negotiation tactics to build buy-in with suppliers on legal clauses
- Negotiate directly with supplier to explain and create buy-in on the target contract setup
Provide first-hand legal advice
- Advise and train procurement teams in a proactive manner on all aspects of contract design, development, and implementation management
- Train internal users on the intent and interpretation of specific contracts, so these users can effectively manage suppliers while protecting our interests and rights.
- Train our internal stakeholders on the basics of contract law
- Advise on contractual rights/obligations when disputes arise with supply agreements.
- Draft and help negotiate formal claims and escalations
Be interface with Group and Local Legal Teams
- Gain internal alignment on the proposed contract terms, ensure they reflect our Group and Local legal requirements and constraints
- Liaise with local legal teams on all local legal specifics
- Ensure contract approval by the Company’s legal teams
- Involve Group and Local legal team to support negotiations/disputes as and when required
Pursue continuous improvement
- Improve contract structures and clauses to match best practice
- Perform risk analyses to understand the areas of contract exposure
- Monitor progress of all contracting activities and report on lead time KPIs
- Promote the reputation and integrity of the team.
Education / Training
- Master of Laws or similar degree
- Additional certifications valued (e.g. procurement, project mgt., contract mgt.)
Background
- At least 5 years of business experience
- At least 2 years of experience in general commercial law and related contractual arrangements with international vendors, ideally in support of a group procurement organization in a multinational company
- Strong affinity with international procurement activities and good understanding of the procurement category management processes
- Solid negotiation skills and business acumen
- Track record of dealing with high-profile suppliers and senior international stakeholders
- Experience with negotiating complex managed services, IT licenses, or multi-year Capex commitments
- Industry experience: Experience with the telecoms industry is a valued plus
- Geographic experience: International, ideally covering also Latin America
